1. Introduction

Welcome to Reed Meadows Ltd ("Company," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of our website, reedmeadows.sbs, mobile applications, and services (collectively, the "Services").

Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

2. Service Description

Reed Meadows is a tour operator that provides travel services, including but not limited to the organization, booking, and management of tours, accommodations, transportation, and related travel services. Our Services include our website, mobile applications, customer service, and the travel services we provide directly or through our partners and suppliers.

3. User Accounts

3.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Responsibilities

You are responsible for safeguarding the password you use to access our Services and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.3 Account Termination

We reserve the right to terminate or suspend your account and access to our Services at any time, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

4. Booking and Reservations

4.1 Booking Process

When you make a booking through our Services, you agree to provide all information required for the reservation, including but not limited to full names, contact details, and passport information (where applicable) for all travelers. You represent and warrant that all information provided is accurate and complete.

4.2 Confirmation and Documentation

Upon completion of a booking, we will provide you with a confirmation which may include an itinerary, invoice, and other relevant travel documents. It is your responsibility to review these documents for accuracy and to inform us promptly of any errors.

4.3 Special Requests

We will make reasonable efforts to accommodate special requests (e.g., dietary restrictions, room preferences), but we cannot guarantee that all requests will be fulfilled. Special requests do not form part of our contractual obligations unless specifically confirmed in writing.

4.4 Travel Documentation

It is your responsibility to ensure that you have all necessary travel documentation, including valid passports, visas, and health certificates, for your trip. We are not responsible for any consequences resulting from inadequate travel documentation.

5. Payments and Fees

5.1 Pricing

All prices are displayed in the currency indicated on our website or quote. Prices may change at any time before we confirm your booking. Once your booking is confirmed, the price will not change except in circumstances outlined in section 5.4.

5.2 Deposits and Payment Schedule

A non-refundable deposit is required at the time of booking, with the balance due as specified in your confirmation. For certain promotions or last-minute bookings, full payment may be required at the time of booking.

5.3 Payment Methods

We accept payment via major credit cards, bank transfers, and other payment methods as specified on our website. By providing payment information, you represent and warrant that you have the legal right to use the payment method and that the information you supply is true and correct.

5.4 Price Changes

In rare circumstances, we reserve the right to increase prices after confirmation due to:

  • Changes in transportation costs, including fuel
  • Changes in taxes, fees, or charges imposed by third parties
  • Significant currency fluctuations

If the price increase exceeds 8% of the total holiday cost, you have the right to cancel with a full refund of all monies paid.

6. Cancellations and Changes

6.1 Cancellations by You

If you need to cancel your booking, you must notify us in writing. Cancellation fees will apply according to the following schedule:

  • More than 60 days before departure: Loss of deposit
  • 60-31 days before departure: 50% of total tour cost
  • 30-15 days before departure: 75% of total tour cost
  • 14 days or less before departure: 100% of total tour cost

For certain special offers, promotional fares, or custom itineraries, different cancellation terms may apply as specified at the time of booking.

6.2 Changes by You

If you wish to make changes to your confirmed booking, we will make reasonable efforts to accommodate your request, subject to availability and possible additional costs. A service fee may apply for each change in addition to any supplier-imposed charges.

6.3 Cancellations or Changes by Us

We reserve the right to cancel or change any tour, travel service, or itinerary if:

  • The minimum number of participants for a tour is not met
  • Unforeseen circumstances arise that make the fulfillment of the booking impossible or commercially impractical
  • Force majeure events occur (as defined in section 11)

In such cases, we will offer you an alternative of equivalent or higher quality (at no additional cost) or a lower quality alternative with a price refund, or a full refund of all monies paid.

6.4 Refunds

Any applicable refunds will be processed using the same payment method used for the original transaction, unless otherwise agreed upon. Refunds may take up to 30 days to process, depending on your payment provider.

7. Travel Insurance

We strongly recommend that all travelers obtain comprehensive travel insurance that covers trip cancellation, medical expenses, personal liability, and repatriation. Travel insurance is not included in our tour prices unless specifically stated.

We may request proof of adequate travel insurance and reserve the right to decline your participation if sufficient coverage is not obtained.

8. Conduct and Responsibility

8.1 Your Conduct

You agree to comply with all applicable laws and regulations during your travel and to respect the customs, traditions, and practices of the places you visit. You also agree to follow any reasonable instructions or guidelines provided by us, our representatives, or our suppliers.

We reserve the right to terminate your participation in a tour if your conduct is deemed detrimental to the enjoyment of other travelers, dangerous, illegal, or offensive. In such cases, no refund will be provided, and you will be responsible for any additional costs incurred.

8.2 Health and Fitness

You are responsible for ensuring that you are physically and mentally fit to undertake your chosen travel arrangements. You must inform us at the time of booking of any pre-existing medical conditions, disabilities, or mobility limitations that may affect your ability to participate in the tour.

We reserve the right to request a medical certificate or additional information to ensure your safety and the safety of others. If we determine that you are not suited for a particular tour, we may suggest alternatives or, if necessary, decline your booking with a full refund.

8.3 Special Requirements

If you have special requirements (dietary, medical, or otherwise), you must inform us at the time of booking. While we will make reasonable efforts to accommodate these requirements, we cannot guarantee that all needs can be met in all destinations.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Reed Meadows, its affiliates, officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our Services
  • Any loss or damage arising from circumstances beyond our reasonable control, including force majeure events
  • Any acts or omissions of third-party suppliers or service providers
  • Any personal injury, property damage, or other losses arising from participation in physical activities or adventures during your trip
  • Any losses due to your failure to obtain appropriate travel documentation, visas, or health requirements

In any case, our aggregate liability to you for all claims arising from or related to our Services shall not exceed the amount you paid to us for the specific travel service that is the subject of the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, or for any other liability that cannot be excluded or limited by applicable law.

10. Intellectual Property

The content on our Services, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is the property of Reed Meadows or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

You may access, download, and print content from our Services for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from our Services without our express written permission.

11. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms arising from or attributable to acts, events, omissions, or accidents beyond our reasonable control, including but not limited to:

  • Acts of God, including floods, earthquakes, storms, or other natural disasters
  • Epidemic or pandemic
  • Terrorist attack, civil war, civil commotion, or riots
  • War, threat of or preparation for war
  • Nuclear, chemical, or biological contamination
  • Compliance with any law or governmental order, rule, regulation, or direction
  • Collapse of buildings, fire, explosion, or accident
  • Interruption or failure of utility service, including electric power, gas, or water
  • Strikes, lock-outs, or other industrial action

In the event of a force majeure occurrence, we will use reasonable efforts to provide suitable alternative arrangements or refunds where appropriate and feasible.

12. Indemnification

You agree to indemnify, defend, and hold harmless Reed Meadows, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

  • Your violation or breach of any term of these Terms or applicable law
  • Your violation of any rights of a third party
  • Your misuse of our Services

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer laws in your country of residence provide for different jurisdictional rights.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by updating the "Last Updated" date at the top of these Terms and, in some cases, may provide additional notice via email or on our website.

Your continued use of our Services after such changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using our Services.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Reed Meadows regarding your use of our Services and supersede all prior agreements and understandings, whether written or oral.
